AGREEMENT TO TERMS

By accessing or using the AminoNative website (the "Website"), or purchasing any AminoNative ("AminoNative," "we," "our," or "us") products, you (the "Customer," "you," or "your") affirm that you are at least 18 years of age and agree to be bound by these Terms and Conditions of Service (the "Terms") in their entirety. By purchasing or using any product from the Website, you acknowledge that you have read, understood, and accepted the following Research Use and Compliance Disclaimer.

ACCESS DISCLAIMER AND ACCEPTANCE OF TERMS

Research Use and Compliance Disclaimer

Before accessing, using, and purchasing from the Website, all users must review, acknowledge, and agree to the following terms:

1. The products available on the Website are intended for laboratory research purposes only, and are not for consumption.
2. The products available on the Website are not intended to diagnose, treat, cure, or prevent any disease.
3. The products available on the Website should not be used as a food, drug, cosmetic, or for other household use.
4. By accessing the Website, you acknowledge that it is your sole responsibility to ensure compliance with all applicable laws and regulations within your jurisdiction.
5. No information on the Website should be interpreted or construed as clinical guidance.

By continuing to access the Website, you confirm that you have read and understood the above Research Use and Compliance Disclaimer, are at least 18 years of age, are a qualified researcher, and agree that your access to the Website constitutes your acceptance of and consent to be bound by these full Terms.

PRODUCT PURPOSE AND USE

All products sold by AminoNative are intended for laboratory research purposes only, and are not for consumption. The products are not intended to diagnose, treat, cure, or prevent any disease. The products should not be used as a food, drug, cosmetic, or for other household use.

CUSTOMER REPRESENTATIONS AND WARRANTIES

By purchasing from AminoNative, you represent and warrant that:

• You are at least 18 years of age.
• You are a qualified researcher or operate within a controlled laboratory environment.
• You understand the health and safety hazards associated with handling laboratory chemicals and compounds.
• You have the necessary knowledge, training, equipment, and facilities to safely handle these materials.
• You will comply with all applicable local, state, federal, and international laws regarding the purchase, possession, and use of research materials.
• You understand that certain compounds may not be listed on the Toxic Substances Control Act (TSCA) inventory, and you accept full responsibility for verifying compliance for your intended use.

AminoNative reserves the right to deny access to the Website and sales of products to any underage or unqualified individuals.

FDA AND LEGAL DISCLAIMER

The statements and information provided on the Website have not been evaluated by the U.S. Food and Drug Administration (FDA). Products sold by AminoNative or on the Website are not intended to diagnose, treat, cure, or prevent any disease; and no information on the Website should be construed as clinical guidance. AminoNative is a research-use-only (RUO) chemical supplier and not a compounding pharmacy, clinical provider, or outsourcing facility under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act. All products are labeled and marketed for research use only.

BLACKLIST – ZERO-TOLERANCE POLICY

Any communication by the Customer which leads us to believe that the Customer will use or intends to use our products in a manner other than that for which they are intended will result in a "Refusal to Sell" alert or a "Blacklist" email being sent to the Customer. This means the Customer will no longer be able to make purchases on the Website. All collected information will be added to our internal "Banned" database, which every order is checked against. If the Customer receives a ban, it is permanent. AminoNative will not, under any circumstances, tolerate the misuse of the Website or the products sold on the Website.

The following Prohibited Uses will not be tolerated and will result in a permanent ban:

• Consumption
• Diagnostic, therapeutic, or clinical applications
• Compounding under Sections 503A or 503B of the Federal Food, Drug, and Cosmetic Act
• Performance enhancement or aesthetic purposes
• Any consumer, agricultural, or commercial applications
• Educational demonstrations involving in vivo subjects

This list is not exhaustive, and AminoNative reserves the right to suspend or terminate the Customer's account at any time, with or without notice, if the Customer violates these Terms or if we believe the Customer has violated or intends to violate these Terms.

NO GUIDANCE; AFFILIATION

AminoNative assumes that the Customer is familiar with the products being purchased, and does not provide any type of guidelines or suggestions regarding use of the products. Any request for usage guidelines may be considered evidence of lack of qualification and may result in order cancellation and/or account termination.

The Customer represents and warrants that the Customer is affiliated with a laboratory, institution, university, or other research-based facility which is purchasing and using the products sold by AminoNative for research purposes only. AminoNative reserves the right to perform due diligence screening and may require verification of affiliation prior to order fulfillment.

ORDERS, PRICING, AND PAYMENT

All prices listed on the Website are in U.S. dollars and are subject to change without notice. Prices are invitations to conduct business, not binding offers. A contract is formed only upon our written confirmation of acceptance of the Customer's order. We reserve the right to refuse or cancel any order at our sole discretion, including after payment has been received.

The Customer is responsible for all applicable taxes, duties, and shipping charges. Payment is due at the time of order placement unless alternative payment terms have been agreed upon in writing.

SHIPPING AND DELIVERY

Orders are processed within 48 hours and shipped via UPS or FedEx with tracking. We ship only to continental United States addresses. Shipping hours are Monday–Friday, 9:00 AM – 5:00 PM CST. Orders placed on weekends or holidays will be processed the next business day. AminoNative is not responsible for delays caused by the shipping carrier, weather events, or circumstances beyond our control.

RETURN AND REFUND POLICY

All sales are final. Refunds or replacements will only be issued for verified product defects. To file a claim, the Customer must report the defect within seven (7) days of delivery, providing photographic evidence, the order number, and the lot number. AminoNative will review the claim and, if verified, provide a replacement or store credit at our sole discretion. Shipping costs for returns are the responsibility of the Customer unless the return is due to our error.

LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, AminoNative shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from the Customer's access to or use of or inability to access or use the Website or products.

INTELLECTUAL PROPERTY

All content on the Website, including but not limited to text, graphics, logos, images, and software, is the property of AminoNative or its content suppliers and protected by United States and international copyright laws. Unauthorized reproduction, distribution, or use of any content is strictly prohibited.

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising from these Terms or the use of the Website shall be resolved exclusively in the state or federal courts located in the State of Texas.
